Indian Reflections, in its sole discretion, may commence or prosecute any claims, actions or suits to protect Indian Reflections rights in and to the images against infringement, conflicting use or misappropriation by third parties. Such claims, actions and suits shall be at Indian Reflections expense and Indian Reflections shall solely be entitled to all financial recoveries, if any, there from. Within 15 days after discovering any infringement or conflicting use or misappropriation of any image by a third party, which is similar to the image(s) licensed to you, you shall notify Indian Reflections thereof in writing. Indian Reflections shall have the right to determine in its reasonable discretion whether or not any claim, action or suit shall be taken on account of such infringing or conflicting use or misappropriation. In the event Indian Reflections elects to prosecute any such claim, action or suit, you agree to cooperate with Indian Reflections in the conduct of any such claim, action or suit and Indian Reflections shall reimburse you for all previously approved out-of-pocket costs and expenses incurred as a result of such cooperation. You shall not have the right to initiate or prosecute any claim, action or suit on account of any such infringement, conflicting use or misappropriation.</p> <p class="MsoNormal">  </p> <h2><font size="3">PAYMENT TERMS</font></h2> <p class="MsoNormal">No licenses are granted until full payment of our invoice is received.</p> <p class="MsoNormal">  </p> <p class="MsoNormal">Any disputes concerning the invoice must be submitted, in writing, within five (5) business days of the invoice date or within five (5) business days of receiving the invoice where delivered offline, or you shall be deemed to have accepted the invoice as issued.</p> <p class="MsoNormal">  </p> <h2><font size="3">UNAUTHORIZED USE OF IMAGES</font></h2> <p class="MsoNormal">In the event that you utilize any image without or prior to the granting of a license, Indian Reflections reserves the right to seek damages through legal channels.</p> <p class="MsoNormal">  </p> <h2><font size="3">RELEASES, PERMISSIONS AND SENSITIVE SUBJECT USAGE</font></h2> <p class="MsoNormal">Unless our invoice specifically indicates an image has a model or property release, it is not to be construed that such a release exists.</p> <p class="MsoNormal">  </p> <p class="MsoNormal">Indian Reflections gives no rights or warranties with respect to the use of names, trademarks, logos, registered or copyrighted designs or works of art depicted in any image, and you must satisfy yourself that all necessary rights, consents or permissions as may be required for reproduction are secured.</p> <p class="MsoNormal">  </p> <p class="MsoNormal">You agree not to use any image in a defamatory manner or context, either by changing it or by any accompanying text. Advance written permission is required for use of images that depict any illegal goods or activities, or any sensitive subjects, including but not limited to, contraception, matters of a sexual nature, substance abuse, domestic violence, alcohol, tobacco, AIDS, cancer, acts of violence and other serious physical or mental ailments.</p> <p class="MsoNormal">  </p> <h2><font size="3">WARRANTY</font></h2> <p class="MsoNormal">The copyright owner warrants any CD-ROM to be free from defects in material and workmanship for 90 days from delivery and expressly excludes any other warranty, express or implied, as to the quality, accuracy, timeliness, completeness, performance, or fitness for a particular purpose of the images licensed. Your sole and exclusive remedy for a breach of this warranty is the replacement of the CD-ROM.</p> <p class="MsoNormal">  </p> <h2><font size="3">LIMITATION OF LIABILITY; INDEMNITY</font></h2> <p class="MsoNormal">You agree that Indian Reflections shall not be liable in contract, tort, negligence, statutory duty or otherwise, for any loss or damage whatsoever arising from or in any way connected with this Agreement, including, without limitation, damage for loss of business, loss of profits, business interruption, loss of business information, or any other pecuniary loss (even where Indian Reflections has been advised of the possibility of such loss or damage). You agree to indemnify, defend and hold Indian Reflections and its officers, directors and employees, harmless from and against all claims, liability, damages, costs and expenses, including legal fees, arising out of any breach of these terms and conditions by you or any other liability arising out of your use of the images. Indian Reflections reserves the right not to permit reproduction of an image for any reason whatsoever. Under all circumstances, Indian Reflections' liability is strictly limited to the invoice price for the use of the images involved.</p> <p class="MsoNormal">  </p> <h2><font size="3">NO WAIVER, COMPLETE CONTRACT</font></h2> <p class="MsoNormal">The terms set forth in this Agreement, and in any delivery contract and invoice, represent Indian Reflections' entire agreement concerning the delivery of images to you, your review and usage thereof. All prior understandings or representations, whether written or oral, based on "industry custom" or past dealings, are hereby merged in this Agreement. No terms or conditions may be added, removed or modified unless made in writing and signed by both parties. No action of Indian Reflections, other than an express written waiver, may be construed as a waiver of any part of this Agreement, and no oral waivers by employees of Indian Reflections are authorized. A waiver shall not be considered to waive any future performance, breach, or condition under this Agreement including the one being waived. Failure of a party to complain, notify, or declare that the other party is in breach of the terms of this Agreement or failure of a party to give or withhold its consent or approval as provided in this Agreement shall not constitute a waiver of such breach or of such right to withhold its consent or approval.</p> <p class="MsoNormal">  </p> <h2><font size="3">ARBITRATION</font></h2> <p class="MsoNormal">A material part of this Agreement is the mutual agreement of the parties to arbitrate disputes, except for copyright violations, which will be litigated solely in courts of the Republic of India. Any and all disputes arising out of, under or in connection with this Agreement, including, without limitation, its validity, interpretation, performance and breach, shall be settled by arbitration in New Delhi, India. Judgment upon any award rendered may be entered in the highest court of the forum, county, state or federal, having jurisdiction. This Agreement, its validity and effect shall be interpreted under, and governed by, the laws of the Republic of India, and you agree that the arbitrators shall award all costs of arbitration including legal fees, plus legal interest, to the successful party.</p> <p class="MsoNormal">  </p> <h2><font size="3">GOVERNING LAW AND JURISDICTION</font></h2> <p class="MsoNormal">This contract, its validity and effect shall be interpreted under, and governed by, the laws of the Republic of India and shall be considered to have been made and accepted in India. Your sole and exclusive remedy for a breach of this warranty is the replacement of the CD-ROM.</p> <p class="MsoNormal">  </p> <h2><font size="3">LIMITATION OF LIABILITY; INDEMNITY</font></h2> <p class="MsoNormal">You agree that Indian Reflections shall not be liable in contract, tort, negligence, statutory duty or otherwise, for any loss or damage whatsoever arising from or in any way connected with this Agreement, including, without limitation, damage for loss of business, loss of profits, business interruption, loss of business information, or any other pecuniary loss (even where Indian Reflections has been advised of the possibility of such loss or damage). You agree to indemnify, defend and hold Indian Reflections and its officers, directors and employees, harmless from and against all claims, liability, damages, costs and expenses, including legal fees, arising out of any breach of these terms and conditions by you or any other liability arising out of your use of the images. Indian Reflections reserves the right not to permit reproduction of an image for any reason whatsoever. Under all circumstances, Indian Reflections' liability is strictly limited to the invoice price for the use of the images involved.</p> <p class="MsoNormal">  </p> <h2><font size="3">NO WAIVER, COMPLETE CONTRACT</font></h2> <p class="MsoNormal">The terms set forth in this Agreement, and in any delivery contract and invoice, represent Indian Reflections' entire agreement concerning the delivery of images to you, your review and usage thereof. All prior understandings or representations, whether written or oral, based on "industry custom" or past dealings, are hereby merged in this Agreement. No terms or conditions may be added, removed or modified unless made in writing and signed by both parties. No action of Indian Reflections, other than an express written waiver, may be construed as a waiver of any part of this Agreement, and no oral waivers by employees of Indian Reflections are authorized. A waiver shall not be considered to waive any future performance, breach, or condition under this Agreement including the one being waived. Failure of a party to complain, notify, or declare that the other party is in breach of the terms of this Agreement or failure of a party to give or withhold its consent or approval as provided in this Agreement shall not constitute a waiver of such breach or of such right to withhold its consent or approval.</p> <p class="MsoNormal">  </p> <h2><font size="3">ARBITRATION</font></h2> <p class="MsoNormal">A material part of this Agreement is the mutual agreement of the parties to arbitrate disputes, except for copyright violations, which will be litigated solely in courts of the Republic of India. Any and all disputes arising out of, under or in connection with this Agreement, including, without limitation, its validity, interpretation, performance and breach, shall be settled by arbitration in New Delhi, India. Judgment upon any award rendered may be entered in the highest court of the forum, county, state or federal, having jurisdiction. This Agreement, its validity and effect shall be interpreted under, and governed by, the laws of the Republic of India, and you agree that the arbitrators shall award all costs of arbitration including legal fees, plus legal interest, to the successful party.</p> <p class="MsoNormal">  </p> <h2><font size="3">GOVERNING LAW AND JURISDICTION</font></h2> <p class="MsoNormal">This contract, its validity and effect shall be interpreted under, and governed by, the laws of the Republic of India and shall be considered to have been made and accepted in India.
